Ellsworth Fund Ltd. (AMEX: ECF) is a Delaware statutory trust. It is the successor to Ellsworth Convertible Growth and Income Fund which was incorporated in Maryland on April 30, 1986. Ronald Ellsworth Dinsmore and Thomas Hall Dinsmore founded the Company and were elected Chairman of the Board and President, respectively. The Company began operations on June 20, 1986 following an initial public offering of Ellsworth shares. Ron Dinsmore's daughter Jane Dinsmore O'Keeffe joined Ellsworth in 1994.

Ron Dinsmore passed away in August 1996, at which time Thomas Dinsmore was elected Chairman and Chief Executive Officer of Ellsworth and Ms. O'Keeffe was elected President (see Trustees and Officers).

The Fund's investment adviser, Davis-Dinsmore Management Company, was founded in 1970 by Ron Dinsmore and Bancroft Gary Davis.

Ellsworth operates as a closed-end, diversified management investment company that invests primarily in convertible securities. The Company's executive offices are located at 65 Madison Avenue in Morristown, New Jersey.
